Terms & Conditions for Third Party Service Providers

This Platform Usage Agreement (hereinafter referred to as the "Agreement") governs the rights, responsibilities, and conditions applicable to you ("Third Party Service Provider") and SevenCo — SevenCo Technology Services Private Limited ("Platform Operator"), with its principal place of business at 19, 3rd Floor, 1st Cross, KHB Colony, Koramangala 5th Block, Bengaluru 560095, with respect to your access to and use of the SevenCo digital platform as described herein. Please review this Agreement thoroughly before proceeding.

BY ACCESSING OR USING THE PLATFORM, YOU CONFIRM YOUR UNCONDITIONAL ACCEPTANCE OF ALL TERMS CONTAINED IN THIS AGREEMENT. IF YOU DISAGREE WITH ANY PROVISION HEREIN, YOU MUST IMMEDIATELY DISCONTINUE USE.

SECTION A — KEY DEFINITIONS

A.1 The SevenCo Platform

SevenCo operates a technology-enabled digital marketplace that connects independent third party service providers with end-users seeking mobility assistance and related on-demand services. SevenCo is a proprietary technology solution offered by SevenCo Technology Services Private Limited, a company duly incorporated under the Companies Act, 2013.

A.2 Third Party Service Provider (TPSP)

A Third Party Service Provider (TPSP) is an independent individual — including but not limited to a Driver or Vehicle Care Partner — who has voluntarily registered on the SevenCo platform to offer services to customers. All TPSPs undergo a verification and eligibility screening process prior to being listed on the platform. SevenCo expressly disclaims any liability in connection with the TPSP's conduct, and nothing in this Agreement shall be construed as creating an employer-employee relationship or giving rise to any vicarious liability on the part of SevenCo.

SECTION B — OPERATIONAL TERMS

  1. SevenCo functions exclusively as a technology intermediary facilitating connections between Third Party Service Providers and customers. The contractual relationship for actual service delivery exists solely between the TPSP and the customer. SevenCo shall not, under any circumstances, be considered a party to that service contract.
  2. Upon completion of a service engagement, the applicable service charges — as displayed to the customer via the SevenCo application or communicated by electronic notification — will be billed accordingly. Customers may settle charges through cash payment or any supported digital payment method available within the app.
  3. Where payment is received via the platform's digital payment facility, SevenCo shall disburse the applicable proceeds to the respective Third Party Service Provider after making any legally mandated deductions, including Tax Deducted at Source (TDS) under Section 194O of the Income Tax Act, 1961, wherever applicable.
  4. The Third Party Service Provider acknowledges and confirms that, in accordance with prevailing Goods and Services Tax (GST) legislation in India, they are currently exempt from GST registration on account of their annual turnover remaining below the prescribed threshold. The TPSP further undertakes to promptly notify SevenCo upon exceeding said threshold, complete the GST registration process, and furnish their GSTIN to SevenCo. Upon such registration, SevenCo will be entitled to deduct Tax Collected at Source (TCS) from the TPSP's earnings and remit the same to the appropriate government authority. The TPSP acknowledges that SevenCo bears no responsibility for the TPSP's GST registration obligations or return filings.
  5. The Third Party Service Provider confirms that their earnings have exceeded the prescribed ceiling of Rs. 21,000/- under the Provident Fund (PF) and Employee State Insurance (ESI) regulations, effective from the commencement of their engagement with SevenCo as an independent TPSP.
  6. The Third Party Service Provider further confirms that, prior to their current engagement with SevenCo Technology Services Private Limited (formerly known as Humble Mobile Solutions Private Limited), they were not enrolled as a member of any PF or ESI scheme.
  7. Having reviewed the implications of Clauses B.5 and B.6 above, the Third Party Service Provider understands that enrolment in PF or ESI schemes is not mandatory under these circumstances. Given that the TPSP maintains independent financial arrangements and personal investment plans, the TPSP explicitly requests that SevenCo refrain from enrolling them in any PF or ESI program.
  8. The Third Party Service Provider agrees to abide by all operational standards, conduct guidelines, and procedural requirements established by SevenCo, including those published on SevenCo's official website, as well as any supplementary directives issued from time to time — including any Conduct Guidelines or Do's & Don'ts documentation executed by the TPSP.
  9. The Third Party Service Provider undertakes to furnish an accurate and current copy of their valid Third Party Service Provider License and affirms that all information submitted to SevenCo is truthful, accurate, and complete.
  10. The Third Party Service Provider agrees to exercise appropriate care and responsibility when operating a customer's vehicle, and to comply fully with all applicable road safety laws, traffic regulations, speed limits, directional signage, and parking rules. The TPSP must immediately inform SevenCo of any road accident or traffic citation incurred during the course of service. The TPSP shall not operate any vehicle while under the influence of alcohol, controlled substances, or any condition that may compromise their physical or mental capability.
  11. Any breach of this Agreement or non-compliance with SevenCo's operational standards, guidelines, or codes of conduct may result in the suspension or permanent deactivation of the TPSP's account. The TPSP acknowledges that safe vehicle operation and professional service conduct are of paramount importance.
  12. An TPSP shall be deemed to be in breach of this Agreement if any payment obligation is left outstanding. In such cases, SevenCo reserves the right to deactivate or terminate the TPSP's account, which will result in the TPSP losing access to the SevenCo dashboard and the ability to manage or create service resources.

SECTION C — AGREEMENT DURATION & FINANCIAL TERMS

C.1 Duration

This Agreement comes into effect on the date of acceptance and remains operative until terminated by either party in accordance with the provisions set out herein.

C.2 Platform Access Fee

Third Party Service Providers are required to pay a platform access fee corresponding to their selected subscription tier, as periodically determined by SevenCo. This fee is non-refundable, except in cases where a documented technical failure or platform error — as assessed and confirmed solely by SevenCo — has occurred. SevenCo reserves the right to revise the fee structure at any time, with advance notice communicated to TPSPs through the SevenCo website, email, or SMS. Continued use of the platform following any such revision constitutes acceptance of the updated fee terms. Any billing dispute must be raised with SevenCo within three (3) calendar days from the date of the charge. SevenCo will review and address such disputes in good faith.

C.3 Earnings & Incentive Programs

The Third Party Service Provider will receive a percentage of the fare collected per completed service engagement, as determined by SevenCo and subject to periodic revision. Incentive programs are available based on qualifying criteria established by SevenCo, and TPSPs become eligible upon meeting all stated conditions for the relevant scheme.

SECTION D — LIABILITY, CONDUCT & ENFORCEMENT

D.1 TPSP Accountability for Vehicle Incidents

The Third Party Service Provider bears sole and complete responsibility for any accident, incident, or mishap involving the customer's vehicle during the course of service delivery. SevenCo accepts no liability for any such events or their consequences. All ancillary costs associated with vehicle upkeep, traffic fines, and violations of road rules are the exclusive responsibility of the TPSP. In the event a Third Party Service Provider is involved in more than one accident within any twelve (12) month period, SevenCo reserves the right to immediately and permanently deactivate their account.

D.2 Misrepresentation & Fraudulent Activity

Should a Third Party Service Provider engage in fraudulent conduct in connection with this Agreement or any related arrangement with SevenCo — including participation in fictitious or manipulated bookings — SevenCo may terminate this Agreement forthwith and pursue full recovery of any financial losses incurred, including costs arising from procuring alternative service arrangements and any other damages resulting from such conduct.

D.3 Conduct Standards & Penalties

As an independent contractor on the SevenCo platform, the Third Party Service Provider agrees to adhere to all conduct, performance, and operational standards set by SevenCo in order to ensure a consistently high-quality customer experience. Failure to comply with these standards may attract financial penalties as prescribed by SevenCo. Penalisable conduct includes, but is not limited to: unjustified cancellations or no-shows, reckless or unsafe driving behaviour, disrespectful treatment of customers, and failure to meet punctuality standards.

This Agreement is legally binding upon usage of the platform. Third Party Service Providers are encouraged to retain a copy of this document for their records. For any queries regarding these terms, please contact SevenCo through the official platform channels.
